1. Who we are
Evoluut is an AI-native software studio operating from 2nd Floor, James Ronald Webster Building, The Valley, Anguilla AI-2460. Throughout these terms, "Evoluut", "we", "us", and "our" refer to Evoluut. "You" and "your" refer to the individual or business using our website or engaging our services.
2. Acceptance of these terms
By accessing the Evoluut website or purchasing any service from us, you confirm that you have read, understood, and agreed to these Terms and Conditions, together with our Privacy Policy, Refund Policy, Cancellation Policy, Delivery Policy, and Security Policy (collectively, the "Agreement").
3. Services we provide
Evoluut provides AI software development, custom web and mobile applications, MVP development, government and civic technology, IT consulting, and fixed-price Website Packages for small businesses and startups. Service scope, deliverables, timelines, and pricing for fixed-price products are stated on the relevant service page; for custom engagements, scope is set out in a separate written proposal or statement of work agreed between Evoluut and you.
4. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to purchase Evoluut services. If you are buying on behalf of a business, you confirm you have the authority to bind that business to this Agreement.
5. Payment terms
- Fixed-price Website Packages require full payment upfront to reserve a build slot. Work begins only after payment is received, content is submitted, and any required domain/hosting access is provided.
- Custom engagements follow the payment schedule set out in the relevant statement of work.
- All prices are quoted in United States Dollars (USD) unless otherwise stated.
- Payments are processed by our merchant service provider, 4CSweb, which is PCI DSS compliant. Evoluut does not store or have access to your full cardholder data — see our Security Policy for details.
6. Refunds and cancellations

7. Intellectual property
Upon final payment, you own the final deliverables produced specifically for your project (your website's design, copy you provided, and configuration). Evoluut retains ownership of any underlying templates, frameworks, code libraries, methodologies, and tools used to produce the deliverables. We retain the right to display non-confidential aspects of completed work in our portfolio and case studies unless you opt out in writing.
All content on the Evoluut website — including text, logos, design, and code — is the property of Evoluut and protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
8. Your responsibilities
You agree to:
- Provide accurate, lawful, and non-infringing content (text, images, logos, product data) for your project.
- Respond to requests for feedback, access, and approvals in a timely manner.
- Not use Evoluut services for any unlawful, fraudulent, abusive, or harmful activity.
- Comply with applicable laws and regulations in your jurisdiction.
9. Project timeline
Stated delivery timelines (e.g. "7 business days" for Website Packages) begin only after full payment is received, required content is submitted, and any necessary access is provided. Delays caused by missing content, slow approvals, or third-party providers may extend the timeline. See the Delivery Policy for details.
10. Limitation of liability
To the maximum extent permitted by law, Evoluut's total aggregate liability arising out of or related to this Agreement is limited to the amount you paid Evoluut for the specific service that gave rise to the claim. Evoluut is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, or business opportunities.
11. Indemnification
You agree to indemnify and hold Evoluut harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of this Agreement, your misuse of the services, or your infringement of any third-party rights, including intellectual property.
12. Termination
Either party may terminate this Agreement for material breach by the other party, provided written notice is given and the breach is not cured within a reasonable period. Upon termination, you remain liable for fees owed for work completed; Evoluut may retain payments for work already performed in accordance with the Refund Policy.
13. Governing law and jurisdiction
This Agreement is governed by the laws of Anguilla. Any dispute arising under this Agreement is subject to the exclusive jurisdiction of the courts of Anguilla. Both parties agree to attempt to resolve disputes in good faith before resorting to litigation.
14. Changes to these terms
Evoluut may update these Terms and Conditions from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes will be highlighted where reasonable. Continued use of the site or services after a change constitutes acceptance of the revised terms.
